NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

PARTICIPATION IN THE PROMOTION REQUIRES ACCEPTANCE OF THESE OFFICIAL RULES, WHICH INCLUDES A CLASS ACTION WAIVER. IF YOU DO NOT AGREE TO THESE OFFICIAL RULES, YOU MUST NOT PARTICIPATE IN THE PROMOTION.

1. Eligibility.

The Moose Toys Comic-Con Promotion (“Promotion”) is open to individuals, who (a) are legal residents of the 48 United States, including D.C., and excluding New York and Florida, (b) are registered to attend the San Diego Comic-Con 2024 prior to the start date and time of the Promotion and are physically at the San Diego Comic-Con 2024 at the time of entry, and (c) are at least 18 years of age at the time of entry (“Entrant”).

Employees, officers, and directors of Moose Toys, LLC (“Sponsor”) and MrBeastYouTube, LLC (“MrBeast”), or any of their respective parents, affiliates, subsidiaries, representatives, agents, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies (collectively, “Promotion Entities”) and members of their immediate families (parents, legal guardians, children, grandparents, grandchildren, spouses or siblings and their respective spouses, regardless of where they live) and those living in their same households, whether or not legally related, are not eligible to enter or win the Promotion.

Participation in the Promotion constitutes Entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements, as set forth herein. Sponsor reserves the right to verify eligibility of winners.

2. Promotion Period.

The Promotion shall consist of a series of three (3) separate sweepstakes (each, a “Daily Sweepstakes”). Each Daily Sweepstakes will have its own entry period (“Entry Period”), its own winner (each, a “Potential Winner”), and its own prize (each, a “Prize”).

Promotion begins on July 25, 2024 at 9am Pacific Time (“PT”) and ends on July 27, 2024 at 2pm PT, or when all available prizes have been distributed, whichever occurs earlier (“Promotion Period”). See the chart below for individual Daily Sweepstakes entry periods. Sponsor’s computer is the official time keeping device for this Promotion.

3. How to Enter.

During the Promotion Period, individuals may enter a Daily Sweepstakes in one of two ways:

Method 1: During each Daily Sweepstakes Entry Period, as detailed in the chart above, (a) visit the Moose Toys booth at San Diego Comic-Con and (b) purchase any item. Upon completion of purchase, Entrant will be provided an opportunity to “press the button” (“Entry”) for a chance to win the applicable Daily Sweepstakes.

Method 2: During each Daily Sweepstakes Entry Period, as detailed in the chart above, (a) visit the Moose Toys booth at San Diego Comic-Con and (b) ask to scan a QR Code. Upon confirmation that the scan is complete, Entrant will be provided an opportunity to “press the button” (“Entry”) for a chance to win the applicable Daily Sweepstakes.

LIMIT OF TEN (10) ENTRIES PER PERSON / PER DAILY SWEEPSTAKES REGARDLESS OF THE METHOD OF ENTRY. Individuals who attempt to obtain Entries in excess of this limitation will be disqualified.

Upon submission of your entry in this Promotion, you agree that Sponsor may contact you via the contact method(s) provided by you at the time of entry, and that you are permitted to receive emails relating to this Promotion to your business email address. Sponsor and Sponsor’s agents, affiliates, subsidiaries, representatives, or service providers may use Entrants’ personal information submitted with entry for purposes of prize fulfillment and/or for future marketing by Sponsor, such as to notify them of a product or promotion that Sponsor thinks may be of interest. By providing your email address, you agree to receive periodic marketing emails from Sponsor. You may unsubscribe from these promotional emails at any time by following the provided link to unsubscribe. Sponsor will not sell personal information submitted with entry to outside solicitors. Normal Internet access, phone, and usage charges imposed by your online or phone service may apply. If you are entering via a mobile device and using your wireless carrier’s network, standard data charges from your wireless carrier may apply. To remain eligible for any second chance drawings, you must provide your name, email address, and telephone number to Sponsor at the time of entry.

Bulk, automated and/or third-party entries are prohibited and will be disqualified. Multiple participants are not permitted to share the same email address, where applicable. Any attempt by any participant to obtain more than the stated number of entries by using multiple and/or different identities, forms, registrations, email addresses, logins, or any other methods will void that participant’s entries, and that participant may be disqualified at Sponsor’s discretion. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected registrations, which will be disqualified. In the event of a dispute as to any entry, the authorized account holder of the email address used to register will be deemed to be the registrant or player. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder to the Sponsor or forfeit the prize. Entries specifying an invalid, non-working, or inactive email address will be disqualified and ineligible to win.

4. Mechanics of Sweepstakes; Selection of Winners.

Once an Entrant “presses the button,” he/she will immediately be alerted as to whether he/she is a Potential Winner. Any press of the button during the Daily Sweepstakes Entry Period has a random chance to be selected as the Potential Winner. Only one (1) Potential Winner will be selected per Daily Sweepstakes #1 and #3; two (2) Potential Winners will be selected during Daily Sweepstakes #2. Odds of winning Daily Sweepstakes #1 or Daily Sweepstakes #3: 1:1,000. Odds of winning Daily Sweepstakes #2: 2:1,000.

POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. A POTENTIAL WINNER IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL THEIR ELIGIBILITY HAS BEEN VERIFIED, AND POTENTIAL WINNER HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

Potential Winners, or, in the case that potential winner is a minor in his/her state of jurisdiction, potential winner’s parent or legal guardian, will be required to sign and return a Declaration of Eligibility and Liability/Publicity Release, and may be asked to complete other documents that Sponsor deems necessary to confirm eligibility and, unless prohibited by law, obtain a liability/publicity release. Failure to return any required document by the date requested will deem the applicable Potential Winner ineligible, and their Prize will be forfeited.

If following the conclusion of any Daily Sweepstakes Entry Period, a Potential Winner has not been selected, Sponsor reserves the right to award the applicable Prize via a random drawing from among all eligible Entrants for the applicable Daily Sweepstakes.

5. Prizes and Restrictions.

For Daily Sweepstakes #1 and #3, one (1) Prize will be available to be awarded. For Daily Sweepstakes #2, two (2) Prizes will be available to be awarded. Each Prize consists of a Ten Thousand Dollar ($10,000 USD) cash prize to be paid by bank transfer and an exclusive MrBeast Lab Golden Vinyl valued at Twenty- Four Dollars and Ninety-Nine cents ($24.99 USD). Four (4) total Prizes will be available to be awarded during the Promotion. Total Approximate Retail Value (“ARV”) of each Prize: $10,024.99 USD. Total ARV of all four (4) prizes: $40,099.96 USD. Limit one (1) Prize per person, per household.

The actual value of the Prize awarded may be taxable as income, and any applicable local, state, and federal taxes related to the acceptance and/or use of the Prize shall be the sole responsibility of the winner. Winner will be required to provide Sponsor with a valid social security number or tax identification number, as/if required by applicable law, for tax reporting purposes before the Prize will be awarded. As the value of the Prize equals or exceeds $600, if winner resides in the United States, Sponsor must report the value to the Internal Revenue Service (“IRS”) and will issue an IRS Form 1099 to the winner for the actual value of the Prize received.

Prize cannot be substituted, assigned, or transferred; however, Sponsor reserves the right to make equivalent prize substitutions at its sole discretion. Sponsor will not replace any lost or stolen Prize. Only the number of prizes stated in these Official Rules is available to be won in the Contest. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, an alternate winner will be selected in accordance with the winner selection method described above from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available.

All prize details not specified in these Official Rules will be determined in Sponsor’s sole and absolute discretion. Sponsor will provide Entrants with reasonable notice of any change to the prize details. Unclaimed prizes will be forfeited.

6. General Conditions.

This Promotion is governed by the laws of the United States. Subject to reasonable prior notice to Entrants, Sponsor reserves the right to cancel, suspend, and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion or any Daily Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor is not responsible computer or software malfunctions or damage to a user’s computer equipment (software or hardware); technical failures; or other errors or malfunctions of any kind whether human, mechanical, electronic, or otherwise. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

7. WARNING.

ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION OR ANY DAILY SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be attempting to tamper with or undermine the entry process, any website or account associated with the Promotion or Daily Sweepstakes, and/or the legitimate operation of the Promotion; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. If, for any reason, the Promotion or any Daily Sweepstakes is not capable of running as planned, Sponsor may, in its sole discretion, and subject to reasonable prior notice to Entrants, modify or suspend the Promotion or Daily Sweepstakes to address the impairment and then resume the same in a manner that best conforms to the spirit of these Official Rules; or award the Prize(s) at random.

8. LIMITATIONS OF LIABILITY; RELEASES; INTELLECTUAL PROPERTY.

By participating in this Sweepstakes, Entrants agree that Sponsor, MrBeast, Comic-Con International and their respective affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers, web masters, and their respective officers, directors, employees, representatives, successors, assigns and agents (“Released Parties”) are, to the extent permitted by applicable law, not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of Entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Promotion or receipt or use or misuse of any Prize.

EXCEPT WHERE PROHIBITED BY LAW, BY PARTICIPATING IN THIS PROMOTION, ENTRANTS AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF A PRIZE, ENTRY, OR PARTICIPATION IN THIS PROMOTION OR IN ANY PROMOTION-RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, INVASION OF PRIVACY, OR OTHER INTELLECTUAL PROPERTY RIGHTS, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE TO INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, TERRORISM, OR ACTUAL OR THREATENED PUBLIC HEALTH CRISES (INCLUDING, WITHOUT LIMITATION, PANDEMICS AND EPIDEMICS AND ANY GOVERNMENT SHUTDOWNS OR RESTRICTIONS RELATED THERETO).

BY PARTICIPATING IN THIS PROMOTION, ENTRANT AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS PROMOTION OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE.

EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THE PROMOTION CONSTITUTES WINNERS GRANT TO SPONSOR (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSOR), AND THE RELEASED PARTIES, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, AT ANY TIME OR TIMES, EACH WINNER’S NAME, LIKENESS, SOCIAL MEDIA HANDLE, AND BIOGRAPHICAL INFORMATION FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION. NOTHING CONTAINED HEREIN SHALL BE DEEMED TO OBLIGATE SPONSOR TO MAKE USE OF ANY OF THE RIGHTS GRANTED HEREIN AND WINNERS WAIVE ANY RIGHT TO INSPECT OR APPROVE ANY SUCH USE OF ANY AND EVERY NATURE AND KIND AND CONSENT TO ANY SUCH APPROPRIATE AND LEGALLY PERMISSIBLE USE THEREOF.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS PROMOTION, INCLUDING THE PRIZE, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

9. Governing Law / Disputes.

Except where prohibited by applicable law, each Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any Prize awarded shall be resolved individually, without resort to any form of class action, and shall be governed by and construed in accordance with the laws of the state of California, and the federal laws of the U.S. applicable therein. Entrant hereby accepts the jurisdiction of the federal and state courts within California with respect to any legal actions, suits or proceedings arising out of or related to this Promotion and agrees not to oppose any action brought in California on the basis that the courts of California are not an appropriate or convenient forum for same; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred (not to exceed $10 USD), but in no event attorneys’ fees; (iii) no punitive, incidental, special, consequential or other damages, including, without limitation, lost profits, may be awarded (collectively, “Special Damages”), and Entrant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. California law, without reference to California’s choice of law rules, governs the Promotion and all aspects related hereto.

10. Privacy Policy.

Information submitted by or collected from Entrants in connection with the Promotion shall be subject to Sponsor’s privacy policy, available at https://www.moosetoys.com/privacy-policy. By entering this Promotion, Entrant expressly consents to Sponsor, its agents, and/or representatives, storing, sharing, and using the personal information, if any, submitted in connection with Entry for the purposes described in these Official Rules, including for the purpose of administering the Promotion and prize fulfillment.

11. Miscellaneous.

The invalidity or unenforceability of any provision of these Official Rules or any prize acceptance documents shall not affect the validity or enforceability of any other provision. Should any provision of the Official Rules be determined invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. To the fullest extent permitted by applicable law, Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event of a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials, privacy policy, or terms of use on a Sweepstakes-related website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control.

12. Severability.

If any term or provision or these Official Rules is found under the law to be invalid or unenforceable, then such specific term or provision shall be of no force and effect and shall be severed, and the remainder of these Official Rules shall continue in full force and effect.
